1.0 DEFINITIONS
For the purposes of these terms:
Commercial Use: Any usage in paid advertising, promotional campaigns, or revenue-generating activities across print, digital, and social media platforms.
Social Media: Digital platforms including but not limited to Instagram, Facebook, LinkedIn, TikTok, and similar services where content is shared publicly or with defined audiences.
Territory: The geographical area in which usage rights are granted (e.g., Norway, Nordic region, Europe, Worldwide).
License Period: The duration for which usage rights are granted, typically twelve months from delivery date unless otherwise specified.
Exclusive Rights: Rights granted solely to one client, preventing the photographer from licensing the same images to other parties during the exclusivity period.
2.0 SCOPE
These terms govern all photography commissions, creative direction, and production services provided by Sylte Studios. All visual content created remains subject to usage licensing as outlined below.
3.0 PAYMENT
3.1 A 50% deposit is required upon booking or four weeks prior to production, whichever comes first. The remaining balance, including any additional services, is due upon delivery.
3.2 Usage rights are granted only after full payment is received. All fees are exclusive of VAT, applicable to Norwegian clients only.
3.3 Accepted payment methods include bank transfer and invoice. Payment processing typically takes 2-5 working days depending on method.
3.4 Late payments will incur interest at 5% per month. Usage rights are automatically suspended if payment becomes overdue until the account is settled in full.
3.5 Additional expenses including but not limited to travel, equipment rental, location fees, assistants, stylists, and other production costs will be itemised and invoiced separately unless included in the agreed project fee.
3.6 Expedited delivery requested within 7 working days of the shoot date will incur a rush fee of 25% of the production fee.
4.0 COPYRIGHT
All photographs and visual content remain the copyright of Alexander Sylte. Sylte Studios acts as the exclusive representative for licensing purposes. Copyright metadata embedded in image files must not be removed or altered.
5.0 DELIVERY
5.1 Final images are delivered digitally via secure transfer or cloud storage within 14 working days of the shoot date, unless otherwise agreed in writing.
5.2 Standard delivery format is high-resolution JPEG in sRGB colour space. Alternative formats including TIFF or specific colour profiles are available upon request.
5.3 Unedited raw files and rejected images are not included in standard deliverables and remain the property of Sylte Studios. These may be purchased separately at an additional fee, subject to availability and agreement.
6.0 USAGE RIGHTS
6.1 Copyright remains with the creator. Licenses are granted for specific media, territories, and time periods as agreed in writing. All standard licenses are non-exclusive unless exclusive rights have been explicitly purchased.

6.3 Standard licenses are valid for twelve months from delivery date. Continued usage beyond this period requires license renewal. Unauthorised use will result in additional fees calculated at standard industry rates plus associated legal costs.
6.4 Commercial use includes all paid advertising across print, digital, and social media platforms. Social media licenses specify platforms, organic versus paid usage, and follower count tiers where relevant to pricing.
6.5 Each license specifies geographical limitations (e.g., Norway only, Nordic region, worldwide). Usage outside the licensed territory requires additional licensing.
6.6 Clients may crop images for composition purposes but may not apply filters, manipulations, or modifications that alter the original work without prior written approval. Derivative works require separate agreement.
6.7 Each license is specific to the agreed usage and cannot be transferred to third parties, sub-licensed, or used for purposes beyond the agreed scope without written consent.
6.8 Exclusive rights are available at premium rates and must be explicitly agreed in writing. Exclusivity terms will specify duration, territory, and industry sector. Exclusive rights prevent the photographer from licensing the same images to other parties during the exclusivity period.
7.0 PRODUCTION
7.1 Written approval of the creative brief and shot list is required before production commences to prevent scope changes.
7.2 The base production fee includes one rounds of post-production revisions. Additional revisions beyond this are charged at our standard hourly rate and will be reflected in the final invoice.
7.3 Reshoots required due to client changes, requests outside the agreed brief, or circumstances beyond our control are charged as new projects at standard rates.
7.4 The client is responsible for obtaining all necessary model releases, property releases, and location permissions unless otherwise agreed in writing. Sylte Studios is not liable for claims arising from missing releases. Digital copies of releases should be sent to Sylte Studios for storage alongside the project files.
8.0 CANCELLATION
The 50% deposit is non-refundable upon cancellation. Cancellations made within 14 working days of the scheduled production date incur the full project fee plus any third-party costs already committed.
9.0 FORCE MAJEURE
Sylte Studios shall not be liable for delays or failure to perform obligations due to circumstances beyond reasonable control, including but not limited to severe weather, illness, travel disruptions, venue closures, or other unforeseen events. In such cases, production will be rescheduled at the earliest mutually convenient date without penalty.
10.0 LIABILITY
10.1 Sylte Studios' liability under these terms is limited to the total project fee paid by the client. We explicitly exclude liability for any consequential, indirect, or special damages including but not limited to loss of profits, business interruption, or reputational damage.
10.2 The client agrees to indemnify and hold harmless Sylte Studios from any claims, damages, or expenses arising from the client's use of images outside the licensed scope or in breach of these terms.
11.0 PORTFOLIO USE
Sylte Studios reserves the right to feature commissioned work in our portfolio, website, exhibitions, and promotional materials. All commissions remain available for licensing to other parties unless exclusive rights have been explicitly purchased. Images may be archived and exhibited as part of our body of work.
12.0 PROFESSIONAL STANDARDS
12.1 Sylte Studios maintains professional liability insurance covering our commercial photography activities.
12.2 All project files are backed up securely and retained for twelve months following delivery. After this period, files may be archived or deleted at our discretion.
12.3 When working with unreleased products or confidential content, we will execute a mutual non-disclosure agreement. Portfolio use rights as outlined in section 11.0 are maintained unless explicitly restricted in writing.
13.0 GOVERNING LAW
These terms are governed by Norwegian law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Oslo, Norway.
14.0 SEVERABILITY
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect.
15.0 ENTIRE AGREEMENT
These terms constitute the entire agreement between Sylte Studios and the client, superseding all prior discussions, negotiations, and agreements. Amendments must be made in writing and signed by both parties.
These terms apply specifically to photography and image production services.
